Article 1. Scope and Definitions

1.1. These Terms and Conditions (the “Terms“) govern the access to and use of the website www.acais.ai (the “Site“) and all products, digital content, and services (collectively, the “Services“) provided by ASKF SAS (“we“, “us“, “our“). 1.2. Definitions:
  • Client: Any individual or legal entity, acting as a Consumer or a Business Client, who places an order on the Site.
  • Consumer: Any individual acting for purposes which are outside their trade, business, craft or profession.
  • Business Client: Any individual or legal entity acting for purposes relating to their trade, business, craft, or profession.
1.3. By placing an order on the Site, the Client fully and unreservedly accepts these Terms, which shall prevail over any other document, unless otherwise expressly agreed in writing between the parties.

Article 2. Acceptance of the Terms

By creating an account, purchasing Services, or otherwise using the Site, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the Site or our Services.

Article 3. Pre-contractual Information

Before placing an order, Consumers are provided with all mandatory pre-contractual information in accordance with applicable consumer law, including main characteristics of the Services, total price including taxes, payment and delivery terms, and information about the right of withdrawal.

Article 4. Communications

All communications relating to these Terms and the Services shall be made in writing via email to the addresses provided. We may send you administrative communications, service updates, and promotional materials in accordance with applicable law and our Privacy Policy.

Article 5. Account and Security

5.1. To access certain Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 5.2. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. 5.3. We reserve the right to suspend or terminate accounts that violate these Terms.

Article 6. License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

Article 7. Intellectual Property

7.1. All intellectual property rights in the Site and Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are owned by or licensed to ASKF SAS. 7.2. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without prior written consent.

Article 8. Responsible Use

You agree not to use the Services:
  • In any way that violates any applicable law or regulation;
  • To transmit any harmful, threatening, abusive, or defamatory content;
  • To impersonate any person or entity;
  • To interfere with or disrupt the Services or servers;
  • For any commercial purpose without our prior written consent.

Article 9. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by ASKF SAS. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

Article 10. Newsletter

10.1. You may subscribe to our newsletter to receive updates, promotional offers, and other information. 10.2. You can unsubscribe at any time by clicking the unsubscribe link in any email or by contacting us directly. 10.3. Your personal data will be processed in accordance with our Privacy Policy.

Article 11. Prices, Taxes and Payment

11.1. All prices are indicated in Euros and include all applicable taxes unless otherwise stated. 11.2. We reserve the right to modify our prices at any time, but such changes will not affect orders already confirmed. 11.3. Payment must be made at the time of order using one of the payment methods accepted on the Site. 11.4. We use secure third-party payment processors and do not store your complete payment card information.

Article 12. Right of Withdrawal (for Consumers only)

12.1. Period: Consumers located in the European Economic Area have a period of fourteen (14) calendar days from the date of the contract conclusion (order date) to exercise their right of withdrawal, without giving any reason. 12.2. Exercise: To do so, the Consumer must inform us of their decision through an unequivocal statement (e.g., by email or post, using the model form in Annex 1). 12.3. Refund: In case of withdrawal, we will reimburse all payments received within 14 days of being informed of the withdrawal decision, using the same payment method. 12.4. Exceptions and waiver: In accordance with EU consumer law, the right of withdrawal does not apply to:
  • Contracts for services that have been fully performed if the performance has begun with the consumer’s prior express consent, and with the acknowledgement that they will lose their right of withdrawal once the contract has been fully performed.
  • Contracts for the supply of digital content which is not supplied on a tangible medium if the performance has begun with the consumer’s prior express consent and their acknowledgment that they thereby lose their right of withdrawal.
During the checkout process for immediate access to digital content, you will be asked to tick a box to (i) give your express consent to begin performance before the withdrawal period ends, and (ii) acknowledge that you thereby waive your right of withdrawal.

Article 13. Provisions for Business Clients

By ordering as a Business Client, you acknowledge and agree that consumer protection regulations do not apply. In particular:
  • The right of withdrawal set out in Article 12 is not applicable.
  • The liability of ASKF SAS is limited in accordance with Article 15.
  • In the event of a dispute, the courts of Paris shall have exclusive jurisdiction.

Article 14. Legal Guarantees

14.1. For Consumers in the European Union, digital content and services are covered by the legal guarantee of conformity as provided by applicable consumer law. 14.2. In case of non-conformity, Consumers may request that the content be brought into conformity, a proportionate reduction in price, or termination of the contract. 14.3. These legal guarantees apply without prejudice to any commercial warranties we may offer.

Article 15. Liability

15.1. To the maximum extent permitted by applicable law, ASKF SAS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. 15.2. Our total liability to you for all claims arising from or related to the Services shall not exceed the amount paid by you to us for the Services in the twelve (12) months preceding the claim. 15.3. Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law. 15.4. For Consumers, statutory rights and remedies under applicable consumer protection laws are not affected by these limitations.

Article 16. Certifications and Compliance

We are committed to maintaining high standards of data protection and security. Our Services comply with applicable regulations including GDPR, and we undergo regular security audits and assessments.

Article 17. Indemnification

You agree to indemnify, defend, and hold harmless ASKF SAS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

Article 18. Termination

18.1. We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. 18.2. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Article 19. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, or failures of telecommunications or internet services.

Article 20. Digital Services Act (DSA)

20.1. In accordance with Regulation (EU) 2022/2065 (Digital Services Act), we provide the following information:

Article 21. Privacy and Cookies

21.1. Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. 21.2. We use cookies and similar tracking technologies. Article 22. Consumer Mediation

22.1. In accordance with Articles L.612-1 et seq. of the French Consumer Code, Consumers have the right to resort to a consumer mediator in the event of a dispute with ASKF SAS. 22.2. Article 23. Governing Law and Jurisdiction

23.1. These Terms shall be governed by and construed in accordance with French law. 23.2. For Consumers: Any dispute arising from these Terms may be brought before the competent courts in accordance with the rules of territorial jurisdiction applicable to consumers. 23.3. For Business Clients: Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.

Article 24. Assignment

We may assign or transfer these Terms and our rights and obligations hereunder to any third party without your consent. You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent.

Article 25. Modification of Terms

25.1. We reserve the right to modify these Terms at any time. Any changes will be effective upon posting the revised Terms on the Site. 25.2. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. 25.3. For Consumers, if we make material changes that negatively affect your rights, we will notify you at least 30 days in advance.
